Terms of Service

1. Acceptance of Terms

By accessing or using BestLMS ("Service") provided by Agility Innovations Private Limited ("Agility Innovations", "we", "us"), you agree to be bound by these Terms of Service ("Terms").

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

BestLMS is a cloud-based Leave and Workforce Management System that provides organisations with tools for leave management, timesheets, HR administration, and reporting and audit. It is hosted at agilitylms.tech and provided on a software-as-a-service (SaaS) basis.

• Leave management: submit, approve and track employee leave requests and balances.
• Timesheets: record and review employee and contractor work hours and submissions.
• HR administration: manage employee directories, probation tracking and HR policies.
• Reporting and audit: generate compliance reports and maintain a tamper-evident audit log.

3. Accounts and Access

Access to BestLMS is granted on an organisation-level basis. Your organisation’s administrator ("Super Admin") is responsible for creating and managing user accounts within your workspace.

You are responsible for maintaining the confidentiality of your login credentials, for all activity under your account, and for notifying us immediately at support@agilitytech.ai of any unauthorised access or security breach. Roles include Employee, Manager and Super Admin, each with different levels of access.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Submit false, misleading or fraudulent leave requests or timesheet entries.
• Attempt to gain unauthorised access to other users’ accounts or data.
• Reverse-engineer, decompile or disassemble any part of the Service.
• Introduce viruses, malware or other harmful code, or use automated scripts or bots without our written consent.
• Resell or sublicense the Service without prior written authorisation, or violate any applicable law.

5. Data and Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference.

Your organisation retains ownership of all data submitted to the Service ("Customer Data"). You grant Agility Innovations a limited, non-exclusive licence to process Customer Data solely to provide and improve the Service.

6. Intellectual Property

The Service — including its software, design, logos, trademarks and content — is owned by Agility Innovations Private Limited and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos or branding without prior written consent.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes.

7. Service Availability and Modifications

We strive for high availability but do not guarantee uninterrupted access; scheduled maintenance will be communicated in advance where practicable. We may modify, suspend or discontinue any feature at any time with reasonable notice, and will provide at least 14 days’ notice of material changes to these Terms via email and the login page. Continued use constitutes acceptance.

8. Payment and Subscription

Access to the full Service may be subject to a subscription fee as separately agreed between your organisation and Agility Innovations. Payment terms, billing cycles and refund policies are governed by the subscription agreement or order form executed between your organisation and us. Failure to pay applicable fees may result in suspension of access after reasonable notice.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Agility Innovations Private Limited shall not be liable for any indirect, incidental, special, consequential or punitive damages, loss of data, profits, revenue or business opportunities, costs of procuring substitute goods or services, or any matter beyond our reasonable control. Our total cumulative liability for any claims arising from these Terms or the Service shall not exceed the fees paid by your organisation in the three months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose or non-infringement.

We do not warrant that the Service will be error-free, uninterrupted or free of harmful components, or that defects will be corrected within any specific timeframe.

11. Termination

Either party may terminate access to the Service at any time with reasonable notice. We will provide a data export for 30 days following termination upon request, and after 90 days post-termination your organisation’s data will be permanently deleted except where retention is required by law. We may suspend or terminate access without notice if you violate these Terms, engage in fraud or pose a security risk.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of India.
